Terms and Conditions

Last updated: October 29, 2026

1. Acceptance of Terms

The Simula application ("Service") is operated by Simula Inc. ("Simula," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Simula is a financial backtesting tool. It does not provide investment advice or recommendations.

3. Service Plans and Features

We reserve the right to modify the features, limitations, and pricing of any service tier at any time. Changes will apply to all users, including existing subscribers. Continued use of the Service after such changes constitutes acceptance of the new terms. If we raise the price of a subscription you already hold, we will email you before the new price applies, and it will take effect no earlier than your next renewal.

4. User Accounts and Registration

4.1 Account Creation

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Termination

We may terminate or suspend your account at any time for violation of these Terms, suspected abuse of our systems, or at our sole discretion.

4.3 Data Upon Termination

Upon account termination or cancellation of subscription, your saved strategies, backtests, and other user-generated content may be deleted from our systems.

5. Payment and Subscription Terms

5.1 Subscription Fees

Paid plans require monthly or annual subscription payments processed through Stripe. All fees are non-refundable.

5.2 No Refunds

All payments are final. We do not provide refunds for any subscription fees, partial periods, or unused portions of the Service.

5.3 Payment Processing

By providing payment information, you authorize us to charge the applicable fees to your designated payment method.

5.4 Failed Payments

If a payment fails, we may suspend your access to paid features until the payment is made.

6. Acceptable Use Policy

6.1 Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Abuse our APIs through excessive automated requests or other means that may disrupt service availability
  • Share your account credentials with others
  • Reverse engineer or attempt to extract our underlying algorithms or data

6.2 API Usage

In addition to the usage allocations described in Section 6.3, we reserve the right to impose rate limits on API requests and to suspend or ban accounts that we determine are abusing our systems through excessive requests or other disruptive behavior.

6.3 Usage Limits

Each service tier includes a periodic allocation of computational resources for running backtests and other analytical operations. Usage allocations vary by plan and reset on a recurring cycle. You can monitor your current usage within your account settings.

If you reach your allocation limit, access to compute-intensive features will be temporarily restricted until your usage resets or you purchase additional usage credits. We reserve the right to modify usage allocations, reset periods, and the methodology used to measure usage at any time. Changes apply to all users, including existing subscribers.

Usage allocations are non-transferable and unused portions do not roll over between reset periods.

You may purchase additional usage credits. Purchased credits are consumed only after your periodic allocation is exhausted, do not expire, and are non-transferable and strictly non-refundable, including in the event of subscription cancellation or account closure. Credit purchases are denominated in a fixed monetary amount; the computational resources a given credit balance provides depend on the current usage-measurement methodology, which we may modify at any time. We may grant bonus credits at our sole discretion (for example, as compensation for a service disruption); granted credits carry the same terms as purchased credits. If an operation exceeds your remaining allocation while running, the overage is deducted from your credit balance or, if no credits remain, from your next periodic allocation.

6.4 Automatic Top-Up

Where we offer it for your subscription, you may turn on automatic top-up in your account settings. It is off unless you turn it on. While it is on, when your projected usage indicates that your allocation and credits will soon be exhausted, as described on the settings screen, we charge the payment method on your subscription for the credit pack you selected, up to the monthly maximum you set. Each charge is a separate purchase of usage credits on the terms of Section 6.3 and is non-refundable.

Automatic top-up continues until you turn it off, which you can do at any time in your account settings; turning it off does not affect charges already made. We do not retry a declined charge, and we may turn automatic top-up off after a declined charge or if your subscription can no longer be charged automatically. It turns off when your subscription ends. We do not guarantee that a top-up will occur before your usage runs out.

7. Data and Privacy

7.1 Service Improvement

We may analyze usage patterns and anonymized strategy data to improve our algorithms, user interface, and develop new features.

7.2 Aggregated Data

We may use aggregated, anonymized data derived from user interactions to improve our Service, conduct research, and develop new features.

7.3 AI Assistant Conversations

Our AI assistant is powered by third-party AI model providers. When you use the AI assistant, the messages you send, including the recent conversation history needed to answer them, are transmitted to these providers to generate responses. This includes strategy descriptions you submit for AI translation into builder configurations.

We may record AI assistant conversations and review them, using both automated systems and human reviewers, for quality assurance, safety, and abuse prevention, and to improve our Service. Recorded conversations are linked to your account. Do not include sensitive personal information in your conversations with the AI assistant.

Our Service provides historical financial data from our own data sources. Data may differ from other financial data providers due to variations in data collection, processing, and sources.

9.2 No Warranties on Data Accuracy

We do not warrant the accuracy, completeness, or timeliness of any financial data provided through our Service. You should not rely solely on our data for investment decisions.

9.3 Backtesting Limitations

Backtesting results are based on historical data and do not guarantee future performance. Past performance of any strategy does not assure future results. Market conditions, regulations, and other factors can significantly impact actual investment outcomes.

We may modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

By using Simula, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
